This Legal Notice establishes and regulates the way in which you use the website https://www.propilatam.com, and all its content is owned by PROPILATAM, S.A., (hereinafter, the Company), a corporation registered in Electronic Folio 155770111-2-2025 of the commercial section of the Public Registry of the Republic of Panama.

ABOUT PROPI is an online platform that provides personalized advice to its Users in their search for real estate located within the territory of the Republic of Panama ("Panama") and/or Latin America and the Caribbean.

PROPI facilitates the process of leasing and/or purchasing real estate directly and/or through third parties, facilitates and offers real estate alternatives that meet the search criteria provided by Users, and offers personalized support in: (i) searching for real estate that meets these criteria; (ii) decision-making; searching for the most suitable potential Tenant or Buyer for each property and the most suitable property for each potential Tenant or Buyer.

To achieve these goals, PROPI develops and introduces technological, financial, and operational tools into the property leasing process for property owners, tenants, and buyers alike.

PARTIES:

PROPI: is a platform dedicated to facilitating the experience of leasing and/or buying and selling real estate online. USER: Any person who accesses or uses the Platform and/or PROPI's Services, regardless of whether they have registered or not.

OFFEROR: the person who decides to offer the property through the Platform, whether as the owner, developer, or real estate agent, who is solely and exclusively responsible for the information: (i) about their property; and (ii) that is published on the Platform.

INǪUILINO: User who chooses the property that best suits their needs and decides to rent it, subject to approval.

BUYER: User who, through the Platform, chooses the property that best suits their needs and decides to purchase it, subject to due approval.

CURATOR: independent individuals with no employment relationship with PROPI, responsible for: taking photographs and videos of the properties, as well as verifying the condition of the property by means of a checklist or list, signed by the Owner and the Tenant in cases where this is required by PROPI.

PROPERS: individuals who may be employed by PROPI or be independent third parties with no employment relationship with PROPI, who act as real estate advisors and brokers in the leasing and/or sale of properties on the Platform, and who have knowledge of the real estate sector.

TERMS AND CONDITIONS (hereinafter T&C)

In these TCC, when we refer to the User, this includes, without limitation, any person who accesses, uses, installs, and/or browses PROPI occasionally, frequently, or in any other way, and/or uses any of the Services, uses any information, tool, software, or functionality of PROPI, including, without limitation, its content and updates. Thus, by accessing, acting, browsing, and/or using PROPI and/or the Services, the User accepts these TOS and the Privacy Notice; the User agrees to be bound by and obligated to these TOS and the Privacy Notice, and therefore undertakes to comply with these TOS whether as a visitor without registering or creating an account or as a customer by registering and/or in any other way. Therefore, PROPI presumes that visitors and Users of PROPI act in good faith, and, therefore, by accessing, reviewing, using any tool and/or application, or contracting any of the PROPI Services, the User accepts these T&Cs. This acceptance will be ratified and made explicit by selecting the box corresponding to the options "I accept the Terms and Conditions" and "I accept the Privacy Notice," at which point the User expresses their free, express, prior, and informed consent to the content of this document. By accepting these T&C, the User acknowledges and accepts that they create a legal, valid, and binding contract between the User and PROPI. Therefore, before accessing, acting, browsing, or using PROPI or the Services, the User must carefully read all the TCC and the Privacy Notice and freely and voluntarily decide whether they agree with them. If the User does not agree with any of them, they must not use PROPI or the Services.

You declare that you are over 18 years of age, (i) that you have the legal capacity to enter into contracts, (ii) that you are the owner of a personal email address, and (iii) that you are the owner of a personal cell phone number, it being understood that the cell phone allows you to receive calls and messages from the WhatsApp platform or any other platform that PROPI decides to use in the future, as well as text messages (SMS).

The User acknowledges and accepts that, for contracts, acts, and/or legal transactions between the User and PROPI, data messages may be used as documents and electronic media, with the User acknowledging and accepting the methods, technologies, systems, tools, and factors provided by PROPI for any act, contract, and/or legal transaction with PROPI and other Users. Therefore, any act by the User on PROPI implies that they accept the methods, technologies, systems, and tools used by PROPI. The User must refrain from entering into or carrying out any act, contract, or signature if they consider that any of the methods, technologies, systems, and/or tools used by PROPI do not meet the criteria of security, trust, and integrity according to the User's criteria.

The User agrees that the information provided to PROPI (including personal information) during the registration process, such as, but not limited to, their full name, physical or email address, cell phone number, and any other required information, must be accurate and correct. It is the sole and exclusive responsibility of the User to keep this information up to date and confidential, and to inform PROPI of any updates, changes, and/or modifications to it. The User acknowledges and agrees that PROPI reserves the right to reject a registration request or to cancel or suspend, temporarily or permanently, a User and/or their account, in the event of detecting inconsistencies or discrepancies in the information provided by a User or in the event of detecting suspicious or unusual activities, without such a decision giving the User the right to claim any compensation or reimbursement.

The process of registration, acceptance, and authorization by the User to access PROPI and use the Services will be carried out through the following two-step verification process: on the PROPI home screen, the User must provide their identity document number and personal data. Once the required fields have been filled in with this information, PROPI will send either a code or PIN to your phone number or registered email address, which you must enter on the next screen of the registration process to authenticate and authorize access to the Services. Once the code or PIN entered has been validated by PROPI, the User will be able to access their personal PROPI account.

If the User wishes to recover their password, the process will be carried out within the Platform in the Log-in section by clicking on the button labeled "I forgot my password." Upon doing so, the User will enter their email address, to which an email will be sent so that they can make the change in accordance with the instructions in the email received.

The User understands that internet and telephone service providers are third parties unrelated to PROPI and will charge the User fees and rates for internet access and use, as well as for the use and sending of text messages (SMS). Therefore, the User understands and accepts that he/she is and will be solely responsible for paying such fees and rates to his/her internet and telephone service providers.

The User understands that PROPI, in compliance with the obligations imposed by the Law that adopts measures to prevent Money Laundering, Terrorist Financing, and Financing of the Proliferation of Weapons of Mass Destruction, may at any time during the process request validation of the User's digital and physical identity, a requirement that will be essential for the continuation of the process. For validation, the User will be required to provide their personal identity card (CIP), residence card, or passport number. This information will be used as basic customer due diligence measures and for the purpose of complying with the Know Your Customer ("KYC") policy and not for commercial purposes.

In the event that the User submits an offer within the Platform, the User understands that PROPI may request the signing of an authorization to consult the User's credit information from the credit bureau through third-party providers, in relation to the contracting of services. Furthermore, the User understands that PROPI, in relation to the contract, may request any documentation it deems relevant for internal evaluation, such as proof of salary, income statements, among others, and share non-sensitive and anonymized information with the Owner in order to place the best tenants in the properties published on the Platform.

The User agrees that PROPI may at any time engage third-party providers to use identity validators for the purpose of signing digital contracts with qualified electronic signatures. This shall be done through providers authorized by the Electronic Signature Directorate of the Public Registry of Panama and in compliance with Law 82 of 2012, which regulates electronic signatures in Panama and related matters.

Authorization for Reservation Process Management and Information Processing By accepting these Terms and Conditions, the User expressly and voluntarily authorizes PROPI to act as an intermediary and manager during the pre-contractual phase of the real estate acquisition process, for the sole purpose of facilitating the management of reservations, the collection and verification of information, and the preparation of documentation related to real estate projects of interest to the User.

Such authorization includes, but is not limited to:

  • The collection, storage, verification, and processing of the User's personal, financial, and commercial data.

  • The request for information and documentation necessary to assess the viability of a reservation or future real estate transaction.

  • The exchange of strictly necessary information with promoters, developers, legal advisors, notaries, financial institutions, and other third parties involved in the process. The preparation and management of reservation requests, draft contracts, purchase agreements, or other preparatory documents.

The User acknowledges and accepts that acceptance of these Terms and Conditions does not constitute an obligation to purchase, nor does it generate any commitment regarding prices, terms, penalties, or specific conditions, which will be defined exclusively in the specific documentation for each project or real estate unit.

Any definitive contractual obligation shall arise solely upon the express signing of the specific documents corresponding to the selected project or unit.

GENERAL TERMS AND CONDITIONS This document sets out the general terms and conditions of access and use of PROPI, its websites, mobile applications, programs, computer systems, and any applications and/or content (collectively, "PROPI"), products, as well as related services (collectively, the "Service" and/or "Services") offered and/or provided and/or operated by PROPI directly or through third parties. The terms and conditions applicable to the payment gateways used through the PROPI website should be consulted directly on the respective pages of the third parties outside PROPI that provide such services, and the User acknowledges and accepts that PROPI shall at no time be responsible for the content thereof:

  1. The User acknowledges and accepts that these TCC govern the relationship between the User and PROPI, and constitute the only TCC with regard to the use of the PROPI website and the Platform.

  2. Users of the Platform and website must carefully read this document before using any of the tools available on the website https://www.propilatam.com and/or requesting the provision of any Service offered by PROPI.

The parties agree that: (i) PROPI shall have the unilateral power to modify, at its sole discretion, from time to time and without incurring any liability, the terms and conditions at any time, in which case it shall publish and notify on its website and/or in users' emails the adjustments made for ease of public access; (ii) visitors and Users must review these terms and conditions periodically to verify any changes and each time they use the tools on the website, in order to be aware of the conditions of manner, time, and place under which the actions and provision of services of PROPI, its employees, suppliers, contractors, subcontractors, subsidiaries, and/or affiliates will be governed; and (iii) the User's continued use of the Platform or access to the PROPI website after the publication of any changes to PROPI's terms and conditions will imply the User's informed acceptance of such changes. If the User does not agree with such changes, they must send a request to exercise their data protection rights to the following email address: hola@propilatam.com, attention: PROPI- FEEDBACK TCC, explaining what they disagree with.

The registered User declares that from the moment they accept these TCC through the website, they give their consent to enter into a contractual relationship with PROPI and/or third parties, in accordance with the provisions of the preceding paragraphs, whose consent shall be valid and may be accredited before all types of individuals or legal entities, and before all types of state or municipal authorities, whether administrative, judicial, or labor-related.

Users declare that they are aware of and understand and agree to be bound by each and every one of the laws, regulations, and legal and tax obligations applicable to the use of the PROPI Platform.

USE OF THE WEBSITE

General Rules: Upon registering on the Platform, the User will be assigned a username and password that they may choose freely and that will be for personal use, non-transferable, and their own sole and exclusive responsibility. Each User will be associated with a single profile linked to their identity. The User or visitor may create a username or may use the platform for the purpose of transmitting, distributing, editing, storing, modifying, adapting, or otherwise transforming the information and/or material they have published on the website. PROPI reserves the right to reject any registration request and/or cancel a registration at its own discretion based on due diligence standards and at its sole discretion, without prior notice, and without incurring any penalty, liability, or compensation.

Information: In order to contract the various services contained in PROPI, the User declares that all information provided and submitted during registration and thereafter is and will remain at all times truthful, complete, and accurate. Likewise, they expressly authorize PROPI, in accordance with the laws of the Republic of Panama and the Privacy Policy, to consult and include the necessary personal data contained in the fields of the form for the proper provision of its services.

PROPI will be responsible for the personal data provided by Users to the Platform for the purposes of exercising the rights of access, rectification, cancellation, opposition, and portability provided for in Law 81 of 2019 on Personal Data Protection and its Regulations. Similarly, the User expressly authorizes the lawful transfer of such data in accordance with the Privacy Policy to third parties when necessary for the proper provision of PROPI's services, which will comply with applicable law at all times.

The documents formalizing contracts related to PROPI services will be stored in a database accessible only by PROPI as the entity responsible for it. Users may identify, update, and correct errors in data entry by contacting PROPI in advance and in writing, based on the right of rectification in matters of personal data protection.

Advertising: PROPI has taken reasonable measures to ensure that the information contained on the Platform and its website is accurate, complete, and up to date. In the event that a typographical error occurs at any time, beyond the control of PROPI, it will be corrected as soon as PROPI becomes aware of the error. However, no warranty, representation, or statement (express or implied) of any kind is given in this regard, nor is it guaranteed that the Platform and the website will be compatible with the User's hardware and software, be free of errors and/or viruses, be accessible without interruption, and/or that they or the information contained therein will meet the User's needs.

All advertisements or publicity notices relating to properties must comply with the information provided by the Offerors, with the advertiser ensuring that the facts are not misrepresented and that the advertisement or publication does not lead to error or confusion. Statements referring to the nature, composition, origin, and substantial qualities of the properties and services must always be accurate and verifiable at any time.

In the event that, due to a typographical error in any of the rates indicated on the Platform with respect to the properties, the User decides to rent or purchase a property, PROPI will notify the User of this situation and the User will have the right to request a refund of any amounts paid in relation to said rental (without generating any interest). PROPI will at no time be liable for said error.

Offers: All prices and rates presented on PROPI are subject to availability, change, and validity without prior notice, and at the sole discretion of PROPI. Advertising relating to offers, promotions, sales, discounts, special conditions, or similar circumstances must indicate the duration of these or the minimum number of units being offered. Restrictions and conditions will apply to each published rate according to availability and other details of the offer.

Security rules: PROPI has taken reasonable measures to ensure that it has the most up-to-date procedures for the effectiveness of its information security systems. The User undertakes not to violate or attempt to violate PROPI's security, and not to: (i) access information, servers, and/or accounts that are not intended and/or authorized for said User; (ii) test or attempt to test the vulnerability of security measures and/or the authenticity of any of the systems or networks through which the PROPI website operates; (iii) interfere or attempt to interfere with the services provided to a User, server, or network, including, but not limited to, sending viruses using the website as a tool; and/or (iv) send unsolicited emails, including promotions and/or advertising of products or services.

Visitors and Users who fail to comply with the preceding paragraph and violate the security of any computer system or network associated with the website are obliged to repair the damage caused and assume all consequences arising from their own actions and/or those of third parties under their direction, including any corresponding criminal proceedings. PROPI may initiate searches, investigations, and any other form of inquiry into the persons and instruments used to violate the information security provided by PROPI and may at any time file complaints, lawsuits, and/or claims seeking to prohibit such actions, as well as compensation for the damages caused.

The User agrees to be liable for any violation or attempted violation of PROPI's computer security and undertakes to release PROPI and its affiliates, and any person directly or indirectly related to its business group, from any liability and undertakes to indemnify them for any lawsuit, inspection, audit, tax, fee, fine, surcharge, loss, liability, damage, harm, cost, or expense (including attorneys' fees and legal costs and expenses) arising out of, resulting from, or in any way connected with any investigation or the initiation of any proceeding, claim, or lawsuit of any nature related to the foregoing.

Prohibitions: PROPI prohibits the use of its website in any of the following ways: To disseminate and/or offer any franchise, pyramid scheme, club or group membership, representation, mandate, and/or brokerage in the sale of goods, business opportunities that require advance payments or periodic payments at any time, or requesting the involvement of third parties in pyramid business schemes and/or to carry out any type of irregular recruitment.

For transactions involving funds from illegal sources and/or money laundering, terrorist financing, and/or any related activity. It is expressly prohibited to delete, edit, transform in any way, and/or commercialize any material published on PROPI by any other natural or legal person without the appropriate authorization.

Using any element, design, software, or routine to interfere and/or attempt to interfere with the proper functioning of PROPI for the purpose of modifying its appearance or operation.

Attempting to decipher, compile, reverse engineer, and/or disassemble any software and/or system used for the operation of the website and/or the Platform.

TERMS AND CONDITIONS FOR ACTIONS PRIOR TO THE LEASE AGREEMENT, PROMISES TO PURCHASE AGREEMENT, AND/OR FINAL PURCHASE AGREEMENT (PROPI PLATFORM, PROPERS, OWNERS, POTENTIAL TENANTS, AND BUYERS) These T&Cs apply to relationships arising from the actions of PROPERS and PROPER/CURATORS in their capacity as photographers, supervisors, real estate agents, and facilitators, with Owners, Tenants, and Buyers, through the service provided by PROPI.

PROPI provides the Platform that facilitates interaction between the Owner and the PROPER.

On the one hand, the Owner accesses and registers the property or properties they wish to rent and/or sell and is assigned a PROPER/CURATOR who will personally review the property, take professional photos, and prepare it so that the respective PROPER can begin all actions and activities inherent to finding potential tenants.CURATOR who will personally review the property, take professional photos, and prepare it for the respective PROPER to initiate all actions and activities inherent in finding potential Tenants and Buyers, such as coordinating property visits, managing and using the property keys, arriving at the property at least twenty (20) minutes in advance to clean and/or tidy the property, among other activities necessary to ensure that the potential tenant makes an offer to rent or buy, as the case may be.

PROPER acts as a facilitator in finding potential tenants and/or buyers and, in turn, can find owners interested in PROPI's services. Therefore, for these purposes, PROPI acts as an intermediary between the Platform User who is interested in concluding a lease agreement or a purchase agreement for a listed property. PROPI constantly plans, maintains, and updates its Platform, through which it carries out the dissemination, administration of intermediation, and management of real estate leases and/or sales of properties that are accessed through the Platform itself. Based on the foregoing and without prejudice to any other obligations throughout these terms and conditions:

OWNER'S OBLIGATIONS The Owner declares that: (i) they are the legitimate Owner and have authorization for 100% of the rights of use and enjoyment of the respective property to enter into the respective contracts with the services offered by PROPI; there is no legal, contractual, corporate, or any other impediment and/or restriction to entering into a lease agreement, promise of sale agreement, and/or purchase agreement, as the case may be, with respect to the property; there is no claim, lawsuit, or judicial or extrajudicial proceeding related to the property, nor is there any judicial or administrative proceeding for seizure, expropriation, or termination of ownership that could affect the legitimate ownership of the property by the Owner or the legality and validity of the rights held by potential Tenants and Buyers, as the case may be; the respective property: (a) is free of encumbrances or liens, or any other limitation of ownership that would prevent the execution of lease agreements, (b) is up to date with all applicable taxes, including property tax, maintenance fees, and condominium fees (if applicable), and all expenses for water, electricity, telephone, internet, and gas services, and garbage collection fees in accordance with the applicable laws of the Republic of Panama, (c) has all the necessary occupancy permits, zoning permits, authorizations, and licenses required under the applicable law in Panama for: (x) the residential use of the respective property, including the land use license; or (y) its sale, and that as of the date hereof, such authorizations are valid.

and valid and will remain valid throughout the term of the respective leases; and (d) has the property available to be leased or sold, as the case may be, immediately, as well as the rights to all information provided and disclosed as promotional and advertising material for the respective property.

Through the Platform, the Owner shall access and submit all information related to the property. PROPI may, at its discretion, request additional information if it deems it appropriate. The Owner agrees that: PROPERS CURATORS may take photos and videos of the property in its current state, authorizing this service and understanding that it is an essential condition for the publication of the property on the Platform; in no case shall PROPERS, PROPER/CURATORS, and PROPI be responsible for the quality and/or content of the photos and/or videos taken; all photographs, texts, graphics, images, logos, icons, software, domain names, and any other content susceptible to appropriation, which is available on the Platform, the website, and/or the application, is the sole and exclusive property of PROPI and is protected by intellectual property rights (copyright) in whole or in part, in accordance with the license agreements it has with other holders of copyright or industrial property rights that apply to them; and PROPERS coordinate visits to the Property with potential Tenants or Buyers, thereby facilitating the logistics of key management, and PROPERS are authorized to arrive at least twenty (20) minutes prior to the scheduled visit to the property in order to clean, tidy, arrange, turn on air conditioners to check that they are working properly, open windows, among other activities.

The Owner acknowledges and agrees that all searches for potential Tenants and Buyers will be conducted through PROPI and/or third parties designated for this purpose, such as PROPERS, and the Owner undertakes not to interact in any way with the potential Tenant or Buyer. The Owner shall refrain from providing their contact information and/or formalizing transactions outside the Platform, as well as promoting competitors' services, except as expressly authorized by PROPI.

The Owner authorizes PROPI to use any available means, whether its own or those of third parties, to publish the advertisement for its property outside the Platform, without prior notice or consent from the Owner, for the purpose of promoting and facilitating its sale.

The publication of the advertisement for the respective property on the Platform is a service provided by PROPI to the Owner free of charge. In the event that the publication is made in media

third parties, such as social networks, billboard advertising, and any means of mass communication, including emails or traditional media, PROPI may subsidize the cost, or may generate a cost on behalf of the Owner upon notification and acceptance by the Owner of such publication. PROPI reserves the right to modify, at any time, the policy on costs for publishing properties and/or related information, at its sole discretion and at its entire discretion, provided that it gives prior notice thereof.

The Owner may establish the hours during which visits to the Property are authorized; once these hours have been confirmed, PROPER may schedule and coordinate visits within the previously agreed-upon time frame. The Owner undertakes to keep these times up to date and may modify them, subject to prior notification to PROPI. The Owner acknowledges and accepts that PROPI may suspend and/or deactivate the Owner's advertisements if their schedule is out of date or if there are a large number of visit cancellations by the Owner.

The Owner acknowledges and accepts responsibility for all visits to the respective property, including, among others, compliance with condominium rules, releasing PROPI from any liability and/or situation arising from non-compliance.

In the event that the Owner hands over the keys to the respective property to PROPI or to any third party designated by PROPI, under no circumstances shall PROPI, the PROPER/CURATOR, and/or the PROPER be liable during the period of time in which they are in possession of the keys for any damages, losses, fires, floods, leaks, explosions, broken pipes, effects of humidity or heat, damage, theft, and/or any event that impairs the normal functioning of the property, except for negligence or willful misconduct attributable to PROPI, which must be duly verifiable, from time to time, that PROPI committed some type of negligence or willful misconduct against the Owner. The Owner shall be solely and exclusively responsible for the content of their data, the information and condition of the property, and their advertisements, including, without limitation, the amount and conditions of the rent or sale price set, and shall be legally responsible for their acts or omissions. PROPI shall not assume any responsibility for erroneous information and/or the conditions established by the Owner on the Platform. PROPI will only make suggestions, and any final decision shall be made by the Owner, which shall be communicated to PROPI.

By submitting the supporting documents, the Owner expressly authorizes the collection, processing, disclosure, provision, and use of their personal data in accordance with PROPI's Privacy Notice available on the website.

OBLIGATIONS OF THE PROPER/CURATOR

The PROPI Platform will provide the Owner with a PROPER/CURATOR who will be responsible for carrying out activities, including, but not limited to: initiating the process on the Platform, evaluating and verifying, using a checklist or list previously accepted and signed by the Owner, and taking professional photographs and videos of the properties, at no cost to the Owner. This professional photo shoot will be scheduled through the platform.

The process of taking photographs and verifying the condition of the property consists of the following steps: The PROPER/CURATOR arrives at the property to take photographs and videos of it. They complete the list or checklist provided by PROPI to verify the initial conditions of the Property. The list or checklist is given to the Owner or, if they are not present, it will be sent to them via the email address linked to their profile on the Platform for their information and acceptance, as applicable. and in the case of a lease, once the negotiation has been finalized, the PROPER/CURATOR will verify the condition of the property using a second checklist or list, which must be signed by the Tenant and the Owner as an expression of their agreement. The PROPER/CURATOR will provide PROPI and the Tenant, if applicable, with professional photos taken of the property, which will be published with the PROPI logo watermark, so that PROPI can upload them to the Platform and the PROPER can begin the process of searching for a potential Tenant or Buyer. The PROPER/CURATOR acknowledges and accepts that their activities will begin when the Owner indicates on the Platform that they are interested in promoting their property and will end upon delivery of the inspection report(s), as applicable, and the photos to PROPI. They also acknowledge that the services provided to PROPI are provided independently and/or contracted by PROPI. In the event that the PROPER/CURATOR is independent, it shall be understood that there is no employer-employee relationship between PROPI and the PROPER/CURATOR.

Payment corresponding to PROPER/CURATOR will be subject at all times to the respective property actually being leased or purchased. Based on a rate previously established by PROPI. PROPI is not and will not be liable in any way for claims, damages, complaints, legal or administrative actions (or of any other nature) made by Users and/or any third party arising from the execution and/or development of the management of the

PROPER/CURATORS.

PROPER: The PROPI Platform will allow PROPER to automatically contact Users, use the application to schedule visits to properties, view the availability calendar, view property information, and/or refer potential Owners who are interested in the PROPI service.

PROPER will review the availability indicated by the Owner in the respective schedule for property visits, coordinate visits, and accompany Users and potential Tenants or Buyers on agreed visits to view the property.

PROPI and PROPER are not, nor will they be, responsible for and/or guarantee visits to the properties and/or the lack of visits to them.

PROPI acts as a facilitator through its Platform and therefore assumes no responsibility for visits or lack thereof to the properties.

PROPER and/or PROPI may limit visits to a particular property and/or those made by a particular User. PROPI reserves the right to control and/or limit the behavior and/or activities of the User on the Platform. The PROPER will inform and accompany the User interested in a property through the process that must be followed on the Platform, so that the verification and linking of the Tenant can be carried out through PROPI or third parties designated by it. PROPERS may be employed by PROPI from time to time, or may provide their services independently, in which case they act on their own behalf and under their own direction, without any employment relationship with PROPI. Therefore, PROPI is not and will not be responsible for the actions of independent PROPERS, nor for the information provided by them. Users undertake at all times to ensure that all information received is corroborated with the information available on the PROPI Platform.

PROPERS acknowledge and accept that their use of PROPI's trademarks, logos, names, and insignia shall be in accordance with the prior written authorization and instructions given to them by PROPI. However, PROPERS may not reproduce, modify, exploit, advertise, and/or perform any other action that has not been previously authorized by PROPI. Failure to comply with the above will result in the immediate deactivation of the Platform's use by PROPERS. Civil and/or criminal penalties arising from such non-compliance shall be the sole and exclusive responsibility of PROPERS.

PROPERS agree to be liable for any misuse and/or unauthorized use of PROPI's trademarks, logos, names, and insignia and undertake to use the PROPI trademark in accordance with the instructions received from PROPI, and undertake to indemnify them for any lawsuit, inspection, audit, tax, fee, fine, surcharge, loss, liability, damage, harm, cost, or expense (including attorneys' fees and legal costs and expenses) arising from, resulting from, or connected in any way with any investigation or the initiation of any proceedings, claim, or lawsuit of any nature related to the foregoing.

All information acquired and/or received by PROPER as a result of, or in connection with, access to the Platform and/or in the performance of its activities shall be considered confidential information belonging to PROPI, and PROPER undertakes to treat such information with absolute discretion, confidentiality, and secrecy. Consequently, PROPER may not disclose any information to third parties without the prior written consent of PROPI, unless it is already in the public domain.

PROPI is not and will not be liable in any way for claims, damages, complaints, legal or administrative actions (or of any other nature) made by Users and/or any third party arising from the execution and/or development of the management of independent PROPERS in their capacity as brokers. POTENTIAL TENANTS/BUYERS Potential Tenants or Buyers who are interested will have access to information, photos, videos, and all other information published regarding the properties through the Platform. They will also have the option of visiting in person or through a person they designate, after notifying PROPI or the PROPERS, as appropriate, in order to verify and confirm the current condition of the property prior to the possible signing of the lease agreement.

Potential tenants or buyers interested in leasing or purchasing, from time to time, as enabled on the Platform, one or more properties must, through the Platform (or in writing in the case of real estate sales), send and negotiate proposals for the lease or purchase of the property or properties advertised on the Platform.

When the User is interested in renting or purchasing a property, potential Tenants or Buyers must submit all information and/or documents required by PROPI or third parties designated by PROPI. The User accepts and declares that the information submitted is and will remain complete and accurate, and that any incorrect or false information will be their sole and exclusive responsibility.

By submitting a proposal and supporting documents, the prospective Tenant or Buyer expressly authorizes the processing of their personal data in accordance with PROPI's Privacy Notice.

PROPI, through its Platform, reserves the right, at its sole discretion and judgment, to limit the number of offers. Additionally, PROPI may establish minimum criteria that potential Tenants or Buyers must meet in order to contract with Owners registered on the Platform, in order to guarantee the financial solvency of the potential Tenant or Buyer and their ability to fully comply with the lease agreement or, where applicable, the promise of sale agreement or public deed of sale.

A feasibility and credit history study may be carried out, with prior authorization, through Commercial Alliances with third parties designated by PROPI; as well as an analysis of income through proof of income or proof of salary, as required at PROPI's discretion, provided by the potential Tenant or Buyer. If approved, you will be notified in a timely manner of the decision to proceed with: in the case of Tenants, the execution of the lease agreement with the Owner; or in the case of Buyers, the execution of the promise of sale agreement and, where applicable, the final sale agreement directly with the Owner. If not approved, PROPI may inform the prospective Tenant or Buyer of other properties that meet their needs and payment capacity, so that they can select other options. Study of the income, viability, and credit history of potential Tenants and Buyers: In order to be considered as a potential Tenant or Buyer and to be able to use (and continue to use) and contract (and continue to contract) the services of PROPI (including to rent the properties offered on the Platform), the potential Tenant or Buyer must authorize PROPI to carry out feasibility studies, credit behavior studies, credit reports, and the corresponding credit history reports regarding the potential Tenant (both at the beginning of their relationship with PROPI and during the following year or throughout the entire time that their legal relationship with PROPI is maintained), including, without limitation, the collection, handling, and sending of the following information: consultation of their credit history, information relating to their credit transactions and other similar information with financial institutions and commercial companies, credit or risk ratings; and/or verification or confirmation of their identity or general data, proof of salary or other income. For the purposes of the foregoing, the prospective Tenant or Buyer must provide PROPI with the following information:

  • Personal Identity Card

  • Social Security Card (CSS) or latest Income Tax Return

  • Proof of Salary or Other Income)

Prospective tenants and/or buyers agree that all information provided to PROPI is true and that they are the owners of said information. Otherwise, prospective tenants and/or buyers will be guilty of crimes against public trust as regulated in the Penal Code of Panama.

PROPI may charge, at its discretion and upon prior notification and acceptance by Prospective Tenants, for conducting income, feasibility, and credit history checks, and if the Prospective Tenant is approved by PROPI, the latter will coordinate the preparation, review, and signing of the lease agreement. One hundred percent (100%) of the first monthly rent plus the deposit paid after signing the corresponding lease agreement must be paid through the Platform or other means of payment indicated by PROPI.

The prospective Tenant agrees to sign with the Landlord (within the time limits and on the date and time indicated by PROPI) the respective lease agreement for the property selected through the PROPI Platform. In view of the foregoing, if the Tenant for any reason (a) does not continue with the process; (b) decides not to lease the selected property; or (c) does not sign or does not appear to sign the lease agreement on the date and time indicated by PROPI without just cause, PROPI is not and will not be liable for any failed negotiation, attempted negotiation, and/or negotiation that takes place outside the guidelines of PROPI and the Platform.

Once the information and the different options have been reviewed, PROPI, through the Platform, will inform the Owner in a timely manner of the potential Tenants who meet the requirements previously established by both PROPI and the Owner.

POTENTIALTENANTS PROPI may charge, at its discretion and upon prior notification and acceptance by Potential Tenants, for conducting income, feasibility, and credit history checks, and if the Potential Tenant is approved by PROPI, the latter will coordinate the preparation, review, and signing of the lease agreement. By virtue of the foregoing, if the Tenant for any reason (a) does not continue with the process; (b) decides not to lease the selected property; or (c) does not sign or does not appear to sign the lease agreement on the date and time indicated by PROPI without just cause, PROPI is not and will not be liable for any failed negotiation.

POTENTIALBUYERS Once the potential Buyer has been approved by PROPI, the preliminary sales agreement can be drawn up and signed, followed by the final sales agreement, if applicable. PROPI shall be entitled to receive the commission agreed with the Owner in the Strategic Alliance Agreement, in the manner and at the time agreed. This commission may be paid, as indicated by PROPI, through the platform or payment gateway designated in the Strategic Alliance Agreement (or any other platform or payment gateway selected by PROPI) by debit or credit card, ACH transfer, cash, or check to the bank account(s) indicated by PROPI in writing.

If, for any reason, the final purchase agreement is not signed, the Owner shall not be entitled to request the return of the commission paid to PROPI at the time of signing the preliminary purchase agreement (without PROPI incurring any penalty or liability). PROPI, by mutual agreement with the Owner, may agree in the Strategic Alliance contracts it signs with the Owners, the methods of compensation for the payment of commission in favor of PROPI for its intermediary services.

In any case, PROPI, in its capacity as an advisor for the search and acquisition of real estate, does not guarantee that the property in which the potential Buyer has expressed interest will actually be acquired by them; that is, PROPI is not responsible for the completion of the sale or acquisition, as this is the responsibility of the Owner and PROPI is only an intermediary between Users, and therefore its obligations are of means and not of result. PROPI is not and will not be responsible for any failed negotiation, attempted negotiation, and/or negotiation that takes place outside the guidelines of PROPI and the Platform.

OWNER TERMS AND CONDITIONS FOR ACTIONS RELATED TO THE PROPERTY LEASE AND MANAGEMENT AGREEMENT (PROPI, OWNER, AND POTENTIAL LANDLORDS)

These special terms and conditions apply to property management relationships arising from the relationship between PROPI and the property owner, as well as

relationships arising between PROPI and the Tenant, as it is a property management intermediary.

In accordance with the above, Owners and potential Tenants, by accepting these terms and conditions, agree to:

OWNER

  • The Owner accepts the terms and conditions set forth in the service agreement and the lease agreement, which they have previously reviewed, and guarantees that they will comply with those terms if their property is leased through PROPI, understanding that these are for reference purposes only and, if they have any comments, they will notify PROPI in advance.

  • The Owner undertakes to sign with PROPI (within the deadlines and on the date and time indicated by PROPI) the respective lease or sale agreement for the property through PROPI. By virtue of the foregoing, if the Owner, for any reason, does not sign or does not appear to sign the service contract or, where applicable, the corresponding lease or sale contract, on the date and at the time indicated by PROPI, they are obliged to pay PROPI a penalty equivalent to the costs and expenses for changes to the respective contract and to the date and time of signing (plus the corresponding ITBMS), incurred by PROPI (in addition to any other penalties at their expense), if any.

  • The Owner acknowledges and accepts that they are solely and exclusively responsible for the information provided, and therefore undertakes to ensure that all information provided to PROPI is true, accurate, and complete. In the event of any discrepancy between the information provided to PROPI and the service contract and/or the lease or sale contract, the Owner releases PROPI from any liability. The Owner shall be solely responsible for responding to the Tenant or new owner in cases of eviction, seizure, or any other situation that interrupts the legitimate possession or ownership of the property; PROPI shall limit itself to cooperating with the relevant authorities as requested, but shall in no case be liable for any damages or losses caused to the Tenant or new owner. The Owner undertakes to pay PROPI, through the Platform and/or means indicated by PROPI, the corresponding remuneration in accordance with the contracts entered into.

  • Upon signing the respective lease agreement, PROPI shall be entitled to charge the Owner: 100% (one hundred percent) of the first month's rent plus the corresponding ITBMS tax. The Owner authorizes PROPI to charge the amount corresponding to the ITBMS tax from the deposit paid and, once this amount has been deducted, the remaining amount of the deposit shall be returned to the Owner.

The foregoing is without prejudice to other amounts provided for in the respective contracts to which PROPI has the right to charge upon prior notification to the Owner.

When PROPI incurs costs and expenses in relation to the lease agreement and the respective property, including, without limitation, costs and expenses for taxes, water, electricity, telephone, internet, gas, garbage collection fees, useful, necessary, and/or voluntary improvements, ordinary and extraordinary fees, legal and administrative actions, and others, it will charge them as reimbursements and/or discounts to the Owner. For such purposes, the Owner hereby expressly and irrevocably authorizes PROPI to automatically deduct such costs and expenses from all amounts received from the Tenant of the property. In the event that the amounts received from the Tenant of the property are insufficient to make full payment to PROPI of all amounts owed to it by the Owner, the latter hereby acknowledges, accepts, and undertakes to pay PROPI any outstanding amount within five (5) business days of the date on which PROPI so requests.

The Owner acknowledges and agrees that the monthly fee for the property will be received by PROPI through the Platform and/or any mechanism defined by PROPI and, once the corresponding expenses have been deducted, the remaining amounts will be transferred to the Owner. The Owner agrees to sign all contracts through the electronic systems endorsed and authorized by PROPI.

PROPI is not and will not be responsible for any lease agreement entered into directly between Landlords and Tenants, even if the parties have met through PROPI.

TENANT The Tenant acknowledges and accepts that they are solely and exclusively responsible for the information provided, and therefore undertakes to ensure that all information provided to PROPI is true, accurate, and complete. Any incorrect or false information shall be the sole and exclusive responsibility of the Tenant, who hereby releases PROPI from any liability.

The Tenant accepts the terms and conditions set forth in the lease agreement, which they have previously reviewed, and likewise accepts that the lease agreement will be signed with the Owner. The Tenant acknowledges that PROPI will only assist the Tenant in facilitating the signing of the lease agreement between the Owner and the Tenant.

The Tenant acknowledges and agrees that the monthly rent determined in the lease agreement shall be paid monthly within the first five (5) days of the month in this

and, where applicable, only through the Platform and/or means indicated by PROPI, which may include, but is not limited to, Payway.

If payment is made by means other than those authorized by PROPI, it will be considered unpaid and subject to late payment interest and penalties. Likewise, the Tenant will have failed to comply with their payment obligation and will be considered, for all purposes, to be in default in accordance with the respective lease agreement. The Tenant may reverse this situation upon notification and acceptance by PROPI to continue using the Platform, provided that the Tenant demonstrates the corresponding payment in question and makes future payments for the property through the Platform.

The Tenant agrees that in the event of a delay in the payment date of the monthly fee and having contracted the Rental Management package, as offered on the Platform, PROPI may charge the late payment interest stipulated in the respective Lease Agreement, will be considered delinquent and, as the case may be, may be reported to credit bureaus, at PROPI's sole discretion. The late payment interest charged by PROPI shall be payable to the Owner in the bank account or payment method established by the Owner for this purpose, within a period of no more than thirty (30) calendar days from the date of receipt of the Tenant's late payment interest.

The Tenant agrees to fully comply with the lease agreement entered into.

The Tenant agrees to sign all contracts through the electronic systems endorsed and authorized by PROPI, or failing that, on physical documents as established by PROPI, thereby complying with the respective legalization of the same under the applicable law.

PROPI PROPI DOES NOT GUARANTEE NOR WILL IT BE RESPONSIBLE for the payment of rental fees, condominium maintenance fees, or any other amounts payable by Tenants; its responsibility is solely and exclusively limited to cooperating with the Owner in exercising the appropriate legal remedies to attempt collection or eviction of the Tenant, as the case may be.

PROPI has informed both the Owner and the Tenant of the terms and conditions of the service contracts, in the case of Rental Management, and of the lease.

The Owner and the Tenant may make comments prior to signing either of these two contracts.

If the Owner contracts the Rental Management package, PROPI will charge the Tenant directly, where applicable, and will receive payment through the Platform or the bank account indicated, as the case may be. PROPI will transfer the corresponding amounts to the Owner once it has made the discounts authorized by the Owner and will issue, where applicable, a monthly report to the Owner on the corresponding income and discounts for its services.

Users acknowledge and accept that when PROPI provides the Platform for the acquisition of Tenants by PROPER, PROPI will be responsible for collecting the respective commission for the Purchase and Lease agreements that are entered into. PROPI will certify the transfers made to PROPERS on a monthly basis, and PROPERS will be responsible for issuing the corresponding receipts for PROPI's accounting purposes.

TERMS AND CONDITIONS FOR ACTIONS RELATED TO THE PROMISES TO SELL AND SALES AGREEMENTS (PROPI, PROPERTY OWNER, AND POTENTIAL BUYERS) These special terms and conditions apply to relationships related to the sale of real estate arising from the relationship between PROPI and the owner of the property, as well as relationships arising between PROPI and the buyer from time to time, when applied to the PROPI Platform.

In accordancewith the above, Owners and potential Buyers, by accepting these terms and conditions, agree to the following: OWNER This section shall only apply to Owners who have signed a Strategic Alliance agreement with PROPI.

  • The Owner accepts the terms and conditions set forth in the Strategic Alliance agreement entered into with PROPI.

  • The Owner undertakes to review the preliminary sales agreements and the sales agreement that PROPI will provide prior to their conclusion with the potential Buyer, from time to time and upon request by the Owners, and guarantees that they will comply with those terms if their property is sold through PROPI. The Owner understands that these are for reference purposes only and, if they have any comments, they will inform PROPI in advance.

  • The Owner acknowledges and accepts that they are solely and exclusively responsible for the information provided, and therefore undertakes to ensure that all information provided to PROPI is true, accurate, and complete. In the event that the information provided in the

PROPI platform, the Strategic Alliance agreement, the promise of sale agreement, and/or the sale agreement is erroneous, false, or incomplete, the Owner releases PROPI from all liability, as the latter is an intermediary between Users and/or potential Buyers and the Owner. The Owner agrees that PROPI, through the Platform or other means communicated to the Owner as established by PROPI, may apply the agreed discounts based on the commission percentage established in the Strategic Alliance Agreement corresponding to PROPI plus ITBMS, as payment for the services provided and the contracts entered into. PROPI shall have the right to charge the Owner the commission agreed upon in the respective Strategic Alliance Agreement, signed between PROPI and the Owner in the manner and at the time agreed upon.

The foregoing is without prejudice to other amounts provided for in the respective contracts to which PROPI has the right to charge. The Owner acknowledges that the Strategic Alliance agreement and offers may be signed through electronic systems endorsed and authorized by PROPI; however, the Owner acknowledges and accepts that the Deed of Sale must be signed by hand and before a notary public.

PROPI is not and will not be responsible for any sale or purchase agreement entered into directly between Owners and Buyers, even if the parties have met through PROPI.

BUYER The Buyer acknowledges and accepts that they are solely and exclusively responsible for the information provided, and therefore undertakes to ensure that all information provided to PROPI is true, accurate, and complete. Any incorrect or false information shall be the sole and exclusive responsibility of the Buyer, who hereby releases PROPI from any liability.

The Buyer acknowledges that offers may be signed through electronic systems endorsed and authorized by PROPI; however, the Buyer acknowledges and accepts that the Public Deed of Sale must be signed by hand and before a circuit notary public.

PROPI undertakes to sign the Strategic Alliance agreement with the Owner, on the understanding that PROPI DOES NOT GUARANTEE NOR WILL IT BE RESPONSIBLE for the payment of any amount agreed between the Owner and the Buyer in the promise of sale agreement and the sale agreement, nor for any other amounts payable by the Buyers.

PROPI has informed both the Owner and the Buyer of the terms and conditions of the preliminary sales agreement and the sales agreement. The Owner and the Buyer may make comments prior to signing either of these two agreements.

PROPI will charge the Owner the agreed commission via the Platform or the indicated bank account, as applicable.

Users acknowledge and agree that when PROPI provides the Platform for the acquisition of Buyers by PROPER, PROPI acts solely as an intermediary.

PROPI will update these GTC when it enables the options for buying and selling the Properties published on the Platform on its respective Platforms.

INTELLECTUAL PROPERTY All content, trademarks, logos, drawings, models, prototypes, photographs, texts, graphics, images, logos, icons, software, source code, reports, compilations, price lists, know-how, source code, computer programs, domain names, including information generated by PROPI in compliance with these terms and conditions, and any other documentation, information, and/or content susceptible to appropriation, which is available on the website https://www.propilatam.com and/or which is generated or used and appears in documents, electronic and/or magnetic media, in relation to the services provided by PROPI, is and will continue to be the sole and exclusive property of PROPI, its affiliates, subsidiaries, licensors, and/or licensees and is protected by intellectual property rights (copyright and industrial property) in whole or in part, according to the license agreements it has with other owners and the copyright or industrial property rights that fall upon it, and shall not be subject to any rights for the benefit of the Owner, Tenant, Buyer, PROPER/CURATOR, and/or PROPER by virtue of Law 64 of 2012 on Copyright and Related Rights and Law 61 of October 2012, which establishes the right to use the website https://www.propilatam.com.CURATOR, and/or PROPER by virtue of Law 64 of 2012 on Copyright and Related Rights and Law 61 of October 2012, which sets forth provisions on Industrial Property, or any other analogous or similar provision.

Violation of the above rights will be prosecuted in accordance with current legislation. Therefore, it is prohibited to modify, copy, reuse, exploit, reproduce, publicly communicate, make second or subsequent publications, upload files, send by mail, transmit, use, process, or distribute in any way all or part of the content and products included inhttps://www.propilatam.com for public or commercial purposes, unless express written authorization has been obtained from the owner of the website or for uses other than the legitimate information or contracting by Users of the services offered. In any case, the prior written consent of PROPI will be required.

The trademarks, trade names, and/or logos, color combinations, structure and design, selection of materials used, of any kind displayed through PROPI are and will continue to be the sole and exclusive property of PROPI, its affiliates, subsidiaries, licensors, and/or licensees, and therefore the use of the PROPI Platform and website does not constitute authorization for the User to use such trademarks, trade names, and logos without prior authorization.

USER PRIVACY For PROPI, it is very important to protect the information and personal data of our customers and visitors. For this reason, and through the Privacy Notice link published at www.propilatam.com, the User will find PROPI's Privacy Policy, which they expressly accept at the time of registration, solely for the purposes that are previously, expressly, and informatively stated therein.

The Privacy Policy is an integral part of PROPI's terms and conditions. By accepting the general terms and conditions at the time of registration, you also accept the Privacy Policy.

USER TRANSFER User accounts registered on the website https://www.propilatam.com may not be sold, transferred, or otherwise transferred without the prior, express, unequivocal, and informed consent of PROPI. PROPI is under no obligation to accept such a transfer and, in any case, the User shall be solely and exclusively responsible.

When using the Platform, the User shall be solely and exclusively responsible for the content, images, advertisements, offers, and/or promotions that are published from their profile on the website https://www.propilatam.com. PROPI assumes in good faith that each of the User accounts registered on its web portal is being used by its legitimate owners.

REFUND When, for reasons attributable to PROPI, the services offered are not provided or are performed with faults or deficiencies, the User must inform PROPI by email of the defect and the date on which it was contracted.

At the User's discretion, PROPI may provide the same service again in accordance with the conditions offered and without any additional charge, or proceed with the refund of the payment made to the User (without interest), within a period not exceeding fifteen (15) business days, but if the payment for the service was made by credit card, the period will depend on the processing times of the banks and payment gateways. The User undertakes to cooperate fully by providing PROPI with the information it needs for this purpose.

PROPI and the User may reach an out-of-court agreement in order to continue providing the service by repairing the fault or failure and granting additional privileges according to PROPI's possibilities and the User's needs.

The foregoing entitles the User to file complaints with the Consumer Ombudsman (https://www.acodeco.gob.pa/) pursuant to Law 45 of 2007, which establishes rules on Consumer Protection and Competition Defense.

DISCLAIMER OF WARRANTIES AND LIABILITY

PROPI shall not, at any time, guarantee the availability and continuity of the website's operation. Consequently, PROPI shall in no case be liable for any damage or harm that may arise from: the lack of availability or accessibility of the website; the interruption in the functioning of the website or computer failures, disconnections, delays, or blockages caused by deficiencies or overloads in data centers, the Internet system, or other electronic systems, occurring in the course of its operation; and other damages that may be caused by third parties through unauthorized interference beyond the control of PROPI, including, but not limited to, actions by payment gateways. PROPI does not guarantee the infallibility of the system or the Platform, nor the absence of viruses or other elements in the Platform introduced by third parties outside of PROPI that may cause alterations in the User's physical or logical systems and/or in the electronic documents and files stored in their systems. Consequently, PROPI cannot guarantee that there will be no security breaches beyond its control, nor shall it be liable in any case for any damage or harm of any nature that may arise from the presence of viruses or other elements that may cause alterations in the User's physical and/or logical systems, electronic documents, and/or files.

PROPI adopts various protective measures to protect the website and its content against cyber attacks by third parties. However, PROPI does not guarantee that unauthorized third parties will not be able to ascertain the conditions, characteristics, and circumstances under which the User accesses the website. Consequently, PROPI shall in no case be liable for any damages that may arise from such unauthorized access. PROPI shall not be liable for:

  • In the event of the death of the Tenant or the Owner.

  • Theft or robbery on the Platform's Properties.

  • The use intended by the Tenant for the Properties on the Platform.

  • Any act or omission by any User in relation to other Users and/or third parties.

  • Damages or compensation arising from the breach of any obligation by any User.

  • Tax obligations arising from Users' activities related to the use of the Platform.

  • The User is solely and fully responsible for determining each and every tax and charge levied on their activities related to the use of the Platform or PROPI's services. Obsolete, incomplete, and/or false data that may be available and updated by third parties such as business partners, but not limited to these.

  • The Platform may contain links to other websites. This does not imply any association, supervision, complicity, endorsement, and/or joint liability of PROPI with these sites, their content, products, or services.

  • The advice, suggestions, guidance, and/or information, whether oral or written, provided to Users, for which PROPI shall not be liable for any warranty and/or responsibility.

As a result of the foregoing, the User assumes sole, exclusive, and total responsibility for all risks and/or possible damages and/or losses arising from the use of any of these sites, their content, products, and/or services. The User agrees to be liable for any breach and/or violation of the rights of Users and/or third parties committed by the User and undertakes to release PROPI and its affiliates, and their respective directors, officers, shareholders, partners, consultants, attorneys, agents, and employees from any liability, and undertakes to indemnify them for any claim, inspection, audit, tax, fee, fine, surcharge, loss, liability, damage, harm, cost, or expense (including attorneys' fees and legal costs and expenses) arising out of or resulting from or in any way connected with any investigation or the initiation of any proceeding, claim, or lawsuit of any nature related to the foregoing.

Potential Buyers acknowledge that PROPI is not the owner or developer of the real estate projects advertised through the Platform for sale or pre-sale and that it only provides digital intermediation services on behalf of real estate developers or marketers. Consequently, PROPI shall not be liable or obligated to respond to potential buyers for any obligations incurred by the owners, developers, marketers, or persons related in any way to the acquisition of the property, including all obligations that by law correspond solely to them. The foregoing includes, without limitation, the construction, execution, obtaining, and processing of the permits and licenses required for the completion of the project for sale as housing, and in general, with respect to all requirements related to the development of the projects. PROPI is not and will not be responsible for the execution and completion of the real estate project, as this is the sole responsibility of the Owner, developer, or marketer. The information on the general characteristics of the properties (location, boundaries, measurements, service facilities, finishes, and/or construction system) indicated on the Platform is merely indicative, and it is the responsibility of the developer or marketer to provide complete information to the potential Buyer.

By using the Platform, the User understands and accepts that prices are merely indicative and therefore do not constitute a commercial offer to the public. PROPI will update prices in accordance with the information provided by the Owners in order to keep them as up to date as possible. The price of the properties will be subject to verification in accordance with the updated price list, the policies of the Owner and/or the developer and/or the marketer of the properties.

ELECTRONIC DOCUMENTS PROPI, in accordance with the provisions of the applicable law of the Republic of Panama, may expressly sign and execute any document or electronic medium by means of a simple and qualified electronic signature. Any acts, powers, contracts, and documents that have been granted or received through data messages, in in accordance with this Law and its regulations, provided that the information contained therein is accessible for subsequent consultation.

By accepting these Terms and Conditions, the User authorizes PROPI to send them the corresponding contractual and/or tax documents, either by email or through the account registered in their profile on the Platform. The email notification of invoices issued according to the frequency agreed with PROPI will be the one expressly authorized by the User to PROPI. The User accepts that, if they do not object to the invoice received within the legally established terms, it will be understood to have been accepted. In accordance with applicable legislation, and in the event that the User requires physical backup of the accounting information, the invoice will be delivered to them in physical form, and its preservation will be the sole and exclusive responsibility of the User.

TRANSACTIONS WITH ILLEGAL FUNDS AND TERRORIST FINANCING The User expressly declares, acknowledges, and accepts that: (a) they are aware of and understand the content and scope of all anti-corruption and anti-money laundering laws in El Salvador, both at the national and municipal levels; (b) neither they nor their shareholders, partners, directors, administrators, employees, collaborators, clients, subordinates, or other related parties are included on any blacklist of any government authority, including that referred to in Article 277 of the Tax Code issued by the Tax Administration; (c) they have not been, and will not be, investigated at the national or international level for criminal conduct involving corruption, drug trafficking, terrorism, terrorist financing, kidnapping, operations with funds from illicit sources, and/or any other related activity; and (d) all of their resources come from and will come from lawful activities.

Based on the foregoing, at all times during the use of the PROPI Platform and/or website and the term of the contracts entered into in accordance with this Agreement, the User undertakes to inform PROPI at any time and immediately when any of the aforementioned events occur and, likewise, undertakes to defend and hold harmless PROPI, its affiliates, and their respective directors, officers, shareholders, partners,

consultants, attorneys, agents, and employees of, and undertakes to indemnify them for any lawsuit, inspection, audit, tax, fee, fine, surcharge, loss, liability, damage, harm, cost, or expense (including attorneys' fees and legal costs and expenses) arising out of or resulting from or in any way connected with any investigation or the initiation of any proceedings, claim, or lawsuit of any nature related to the foregoing. PROPI reserves the right to audit compliance with these transparency obligations at any time, and therefore the User undertakes to provide PROPI with all the information or evidence requested in accordance with the Law Against Money Laundering and Assets.

PAYMENT GATEWAY By accepting these TCC, the User expressly accepts the terms and conditions and/or regulations for use of the payment gateway website, which can be consulted at the following link https://www.propilatam.com. In any case, Users are advised to consult the terms and conditions of use and the privacy notice and/or privacy policies of third-party websites accessed through the links included on the respective websites.

The User acknowledges and accepts that: PROPI is not and will not be liable in any way for claims or legal actions (or of any other nature) initiated by Users and, in general, by any party involved arising from events occurring in connection with the provision of services offered by the Payway payment platform, or any other payment platform that PROPI designates at its sole discretion, the latter being liable for all concepts; PROPI is not and will not be liable for any error or problem caused directly or indirectly by the payment gateway and/or its handling by Users and/or the operation of the payment gateway; The payment gateway service is not provided by PROPI, and any claim, complaint, or request, whether judicial, administrative, or of any other nature, arising from dissatisfaction with this service, whether due to charges or refunds, must be processed directly with the operator of the Payway payment platform, or any other platform that PROPI, at its sole discretion, designates for the aforementioned purposes.

In the event that PROPI becomes involved in a lawsuit against it as a result of events or situations arising from the provision of services to the User by the payment gateway, the User agrees to release PROPI, its affiliates, and their respective directors, officers, shareholders, partners, consultants, attorneys, agents, and employees from liability, and undertakes to indemnify them for any claim, inspection, audit, tax, fee, fine, surcharge, loss, liability, damage, harm, cost, or expense (including attorneys' fees and legal costs and expenses) arising out of or in any way connected with any investigation or the initiation of any proceeding, claim, or lawsuit of any nature related to the foregoing.

In accordance with PROPI's Privacy Policy, the credit card and/or debit card details provided in the registration form, where applicable, will be sent to the payment provider responsible for storing such User data. The User must access or may be redirected to the payment provider's website via the link provided for this purpose in the registration form.

For security reasons, it is not permitted to use the same payment method on more than two separate accounts. If this number is exceeded, PROPI may block the service to all accounts until documentary proof of ownership of the accounts and the payment method is provided.

Likewise, in accordance with the provisions of PROPI's Privacy Policy, the User's bank details to which PROPI may have access as a result of payment for the service by bank transfer shall be considered for all purposes as personal data of the Users.

NOTIFICATIONS PROPI may send notifications via a general notification on the website, via the email address provided by the User when registering on the Platform, by sending an email from the email address hola@propilatam.com- Subject: Notifications, and/or via the website contact form.

Users expressly agree to be notified via the email address registered with PROPI, which may be modified on the Platform in accordance with the steps established for this purpose.

In any case, all communications sent to this email address will be considered validly delivered, and the User waives the right to request proof of receipt of the email and/or communication sent, undertaking to carefully check that emails do not end up in the spam folder or remain unread, and not to use email addresses that are not checked regularly by the User.

TERMINATION PROPI may, at any time, without prior notice, at its sole discretion and exclusive judgment, terminate these TCC, User accounts, and/or Users' access to the website and services.

The User may cancel their account with PROPI on the Platform, provided that they have no outstanding payments and/or obligations of any kind to PROPI and/or other Users.

In case of termination: PROPI will pay any amount owed to the User (without interest) within thirty (30) days after termination; the User will remain liable for all amounts owed to PROPI and/or any third party; PROPI shall not assume any responsibility for amounts owed by the User, nor for the conditions of termination of the lease agreement in accordance with applicable law or any other provision that modifies it.

CONFIDENTIAL INFORMATION The User hereby acknowledges and accepts that, during the term of the contracts entered into under the terms hereof and during their use of the Platform, they will have access to confidential information belonging to other Users and/or PROPI. Therefore, the User agrees: to keep such confidential information strictly confidential and not to disclose it to any third party; not to use the confidential information for any purpose other than the object of the lease or service agreement; and in general, not to reproduce, reveal, transmit, disseminate, publish, disclose, use, or make known in any way, directly or indirectly, in whole or in part, the confidential information to any person, whether natural or legal, without the prior written consent of the respective User or PROPI.

FORTUITOUS EVENTS AND FORCE MAJEURE PROPI shall not be liable or deemed to be in breach for any delay and/or failure to perform its services and/or obligations hereunder and/or under any contract in terms hereof due to fortuitous events or events of force majeure.

Fortuitous events or force majeure are defined as any circumstances beyond the reasonable control of PROPI or its suppliers, including but not limited to fires, floods, explosions, volcanic eruptions, earthquakes, hurricanes, unusually severe weather, labor disputes or strikes (whether legal or illegal), riots, insurrections, accidents, shortages of materials or labor, internet outages or connection problems, transportation problems of any kind, slowdowns, civil unrest, fuel shortages, acts of nature, war (whether declared or undeclared), agreements, regulations, orders, or requirements of any governmental authority (whether such agreements, regulations, orders, or requirements are declared invalid), embargo, epidemic or pandemic of any kind, terrorist threats, terrorist attacks, air strikes, blackouts, acts of public enemies, or any other circumstance beyond PROPI's control.

PREVALENCE The Platform may be subject to specific terms of use, agreements, licenses, assignments, and regulations. In the event of a conflict between these documents and this one, the specific conditions shall prevail, which will be available on the PROPI website or, depending on the type of User, by downloading certain applications through the Apple and Google Play stores.

The parties agree that, in the event of any contradiction and/or dispute between these terms and conditions and the contracts entered into with PROPI, these terms and conditions shall prevail.

JURISDICTION AND APPLICABLE LAW These Terms and Conditions shall be governed in all respects by the laws of the Republic of Panama. For any dispute that may arise, the parties hereby expressly and irrevocably submit to the exclusive jurisdiction of the competent courts of Panama and, therefore, hereby expressly and irrevocably waive any other jurisdiction that may correspond to them due to their present or future domiciles or for any other reason. The terms and conditions on this website shall be governed by the laws of the Republic of Panama in force regarding information and communication technology; intellectual and industrial property, consumer and competition protection, and personal data protection, among others. The parties submit, at their discretion, to the courts and tribunals of the user's domicile for the resolution of conflicts and waive any other jurisdiction. Likewise, the user may resort to the competent courts within the Republic of Panama.
